Terms of Service

1. Acceptance of Terms

These Terms of Service govern your access to and use of Videoblitz, an AI-powered video clipping, editing, and generation service provided by Nai-G ("Videoblitz," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Videoblitz helps users upload, analyze, edit, caption, brand, render, store, export, schedule, and publish short-form clips from longer video content. The Service may include AI-assisted transcription, clip selection, caption generation, formatting, editing tools, rendering, hosting, saved clip storage, and integrations with third-party platforms.

The Service also includes generative features, such as AI Studio and Neomotion, that create new images and videos from text prompts, reference images, and reference videos, including features that replace the people, characters, clothing, or settings in a source video ("Generative Features").

3. Eligibility and Accounts

You must be able to form a legally binding agreement to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date. We may suspend or terminate accounts that violate these Terms, create risk for the Service, or are used in a way that may harm other users, third parties, or Nai-G.

4. Your Content

You retain ownership of the videos, audio, images, text, prompts, brands, captions, projects, and other materials you upload, submit, or create through the Service ("Your Content"). You grant Nai-G a limited, worldwide, non-exclusive license to host, store, copy, process, transcode, analyze, edit, render, display, and otherwise use Your Content only as needed to provide, maintain, secure, troubleshoot, and improve the Service.

We do not claim ownership of Your Content or the clips, images, and videos you generate through the Service ("Outputs"). As between you and Nai-G, and subject to these Terms, you may use your Outputs for any lawful purpose. You are responsible for reviewing Outputs before publishing or using them.

Because of how AI models work, Outputs may not be unique, and other users may receive similar outputs. Outputs created mostly by AI may not be eligible for copyright or other intellectual property protection in some jurisdictions, and we make no promise that they are.

5. Rights You Must Have

You represent and warrant that you have all rights, licenses, consents, and permissions necessary to upload, process, edit, generate clips from, save, distribute, and publish Your Content. This includes rights related to copyrights, trademarks, music, images, names, likenesses, voices, performances, privacy, publicity, and any people or brands appearing in Your Content.

6. AI Outputs

The Service may use automated systems and artificial intelligence to generate transcripts, captions, clip selections, edits, titles, descriptions, images, videos, and other outputs. AI-generated outputs may be inaccurate, incomplete, unexpected, or unsuitable for your intended use. You are responsible for reviewing, editing, approving, and legally clearing outputs before publishing or relying on them.

7. Generative Features and Real People

Generative Features can make realistic videos that show people saying or doing things they never said or did. When you use them, you agree that:

• You will not upload, reference, or generate an identifiable real person unless you are that person or you have that person's permission to use their face, body, voice, and likeness in the way you intend.
• You will not use Generative Features to create sexual, nude, or intimate content of any real person, or any content that sexualizes or depicts a minor in a sexual way.
• You will not use Generative Features to depict public figures, political candidates, officials, or real events in a way intended or likely to deceive viewers, to influence an election, or to make it look like a real person endorsed something they did not.
• You will not use Generative Features to harass, bully, threaten, defame, or defraud anyone, or to get around identity checks or other security measures.

Generative Features rely on third-party AI model providers, and your prompts, reference media, and source videos are sent to those providers to create the Output. Providers may apply their own safety filters, and a request may be refused or blocked even when you believe it is allowed.

8. Disclosure of AI-Generated Content and Watermarks

You are responsible for clearly disclosing that content is AI-generated or AI-altered whenever the law or a platform's rules require it, including when an Output shows a realistic person, place, or event that could be mistaken for real footage. This includes using the AI-content labels offered by the platforms you publish to.

Some Outputs and exports include a Videoblitz watermark, for example on free or trial plans. You may not remove, crop out, blur, cover, or otherwise hide a watermark, or any other mark or metadata we add to show that content was AI-generated or made with Videoblitz.

9. Platform Characters and Assets

The Service may provide ready-made characters, reference images, example videos, templates, and other assets that Nai-G owns or licenses ("Platform Assets"). Nai-G keeps all rights in Platform Assets. While you follow these Terms, we grant you a non-exclusive, non-transferable, revocable license to use Platform Assets within the Service and to publish and commercially use the Outputs you create with them. You may not extract Platform Assets and use them on their own, resell or redistribute them, claim them as your own, or use them to train AI models.

10. Third-Party Platforms

The Service may allow you to prepare, schedule, or publish content for third-party platforms such as social networks, video platforms, or cloud services. Those platforms are not controlled by Nai-G and may have their own terms, policies, technical requirements, moderation decisions, and availability limits. You are responsible for complying with any third-party platform rules that apply to your content and account.

11. Prohibited Uses

You may not use the Service to upload, create, process, distribute, or publish content that is illegal, infringing, deceptive, defamatory, harassing, hateful, sexually exploitative, abusive, or otherwise harmful. You may not use the Service to impersonate others, violate privacy or publicity rights, create non-consensual synthetic media of real people, mislead viewers about synthetic or edited media, remove or hide watermarks, scrape or attack the Service, bypass usage limits, reverse engineer non-public parts of the Service, interfere with security or availability, or use the Service in a way that violates applicable law or third-party rights.

We may remove content, block renders or generations, restrict features, or suspend accounts when we believe these Terms have been violated or when continued access may create legal, security, operational, or reputational risk.

12. Payments, Credits, and Refunds

Paid plans, subscriptions, credits, tokens, add-ons, usage-based charges, and other purchases are billed according to the pricing and checkout terms shown when you purchase. You authorize us and our payment processors to charge the payment method you provide for applicable fees, taxes, renewals, and usage charges.

Tokens are non-refundable once used, except where the Service automatically returns credits or tokens, for example when a job or generation fails or is refused. All other purchases are final and non-refundable to the fullest extent permitted by law, including subscriptions, credits, tokens, rendered exports, used or unused usage allowances, add-ons, and other paid features. Credits and tokens have no cash value, are not legal tender, are not transferable unless we expressly allow it, and may expire or be limited as described in the Service.

13. Subscriptions and Trials

If you purchase a subscription, it may renew automatically until canceled. You are responsible for canceling before the renewal date if you do not want to be charged again. Free trials, promotional credits, discounts, or beta access may be changed, revoked, or discontinued at any time unless otherwise stated in writing.

14. Content Removal and Takedowns

We may remove or restrict access to content if we believe it violates these Terms, applicable law, third-party rights, platform policies, or our operational standards. If you believe content on the Service infringes your rights or uses your name, likeness, voice, brand, or copyrighted work without authorization, including AI-generated content that depicts you, contact us with enough detail for us to review the request.

15. Storage, Deletion, and Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, create risk for the Service, or use the Service in a way that may harm Nai-G, users, or third parties. We may delete projects, uploads, generated clips, generated images and videos, exports, saved clips, integrations, or account data after termination, inactivity, storage expiration, failed payment, or as otherwise described in the Service.

16. Our Intellectual Property

The Service, software, workflows, design, branding, models, templates, Platform Assets, interfaces, documentation, and other materials provided by Nai-G are owned by Nai-G or its licensors and are protected by intellectual property laws. These Terms do not grant you ownership of the Service or any Nai-G intellectual property.

17. Feedback

If you submit ideas, suggestions, requests, bug reports, or other feedback, you grant Nai-G the right to use that feedback without restriction or compensation. We are not required to treat feedback as confidential.

18. Privacy

Our Privacy Policy explains how we collect, use, and protect personal information. By using the Service, you also agree to our Privacy Policy.

19. Service Availability and Changes

We work to keep the Service reliable, but we do not guarantee uninterrupted or error-free access. The Service may be unavailable because of maintenance, upgrades, outages, third-party providers, capacity limits, abuse prevention, or events outside our control. We may change, suspend, or discontinue parts of the Service at any time.

20. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Nai-G disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

21. Limitation of Liability

To the fullest extent permitted by law, Nai-G will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost content, business interruption, reputational harm, or the cost of substitute services. To the fullest extent permitted by law, Nai-G's total liability for any claim related to the Service is limited to the amount you paid to Nai-G for the Service in the 12 months before the event giving rise to the claim.

22. Indemnification

You agree to defend, indemnify, and hold harmless Nai-G from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to Your Content, your Outputs, your use of the Service, your violation of these Terms, your violation of law, or your violation of any third-party rights.

23. Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the Service or by other reasonable means. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
